Terms of Service
These Terms govern your use of this website, any sale of goods you make to EMS East Distributors ("we", "us", "our"), and any purchase you make from us as a verified business buyer. By requesting a quote, sending us goods, or placing a wholesale order, you agree to them. If you don't agree, please don't use the site.
1. What we do
We operate two sides of one business:
- We buy unused, sealed, unexpired over-the-counter diabetic blood glucose test strips from individuals. Part A below governs that.
- We sell those goods, inspected and documented, in wholesale lots to verified business buyers. Part B below governs that.
We do not sell goods to consumers, and this website is not a consumer storefront. We do not dispense, prescribe or supply prescription medication, prescription-only medical devices, or controlled substances, and we neither buy nor sell them under any circumstances.
Sections 2 to 8 are Part A. Sections 9 to 14 are Part B. Sections 15 onward apply to everyone.
2. Eligibility
You must be at least 18 years old and a resident of the United States to sell to us. By submitting a quote request you confirm that you meet both requirements.
3. Your representations
When you send us goods, you represent and warrant that:
- You are the lawful owner of the goods and have the right to sell them.
- The goods are genuine, unopened, and in their original sealed manufacturer packaging.
- The goods are not expired and will not expire within six months of the date you ship them.
- The goods were not obtained through Medicare, Medicaid, TRICARE, the Veterans Health Administration, or any other federal, state or local assistance program.
- The goods were not obtained by fraud, theft, or misrepresentation to an insurer, pharmacy or prescriber.
- The goods do not include any prescription medication, prescription-only medical device, continuous glucose monitoring sensor or transmitter, or controlled substance.
- The goods have been stored in accordance with the manufacturer's instructions and have not been damaged, tampered with, refrigerated or frozen.
If any of these turn out to be untrue, we may void the offer, withhold or reverse payment, and where the law requires it, report the matter to the appropriate authority.
4. Quotes and offers
A quote is an estimate based on the information you give us. It is not an offer to buy and it is not binding on either of us.
After you submit a quote request we will send you a written offer, itemized by product. That offer is valid for 14 calendar days unless we state otherwise in writing. An offer becomes a binding agreement only when you accept it in writing and we receive and verify the goods.
5. Shipping
We provide a prepaid, tracked and insured shipping label at no cost to you. Risk of loss passes to us when the carrier scans the package into their network, provided you used the label we supplied and retained your drop-off receipt.
If you ship using your own label or method, risk of loss remains with you until we receive the package, and we cannot reimburse your shipping costs.
6. Inspection
We inspect all goods on the business day we receive them. Inspection covers seal integrity, expiration dates, lot numbers, storage condition and packaging condition. Every lot number is checked against the U.S. Food and Drug Administration recall database.
If the goods match your description, we pay the offered amount in full. If they do not, we will contact you before taking any further action and give you the choice of a revised offer or return of the goods at our expense, as set out in our Returns and Refunds Policy.
7. Payment
We pay by PayPal, Venmo, ACH direct deposit or paper check, at your election. Payment is issued on the business day inspection is completed. We deduct no fees, commissions or handling charges from the offered amount.
You are responsible for any tax arising from your sale. We do not withhold tax and we do not provide tax advice. Where the law requires us to report payments to you, we will do so, and we may ask for a completed IRS Form W-9 before issuing payment above the applicable reporting threshold.
8. Items we cannot accept or return
If you send us goods we are not permitted to purchase or possess — including prescription medication, prescription-only devices or controlled substances — we cannot return them to you. We will dispose of them in accordance with applicable law and notify you that we have done so. No payment is due for such items.
Goods subject to an active recall are withdrawn from resale and disposed of properly. Where you have otherwise met these Terms in good faith, we will still pay you the offered amount for recalled items.
9. Wholesale accounts (Part B)
We sell only to verified business buyers. To open an account you must provide a valid federal EIN, a current state resale certificate or applicable licence, and a verifiable business address, and you must pass our verification checks. We may decline or close any account at our discretion.
By ordering from us you represent and warrant that:
- You are ordering on behalf of a registered business, and you are authorised to bind it.
- Your licence and registration details are accurate and current, and you will tell us promptly if they change, lapse or are revoked.
- You will resell the goods only through lawful channels, in compliance with all applicable federal and state law governing the distribution of over-the-counter medical devices.
- You will not represent the goods as prescription products, and you will not submit them for reimbursement to any federal or state healthcare program.
- You will not export the goods outside the United States.
10. Orders, pricing and invoicing
An availability list is an invitation to order, not a binding offer, and is subject to prior sale. Prices are quoted per box and may change between availability lists; the price on your invoice is the price that applies to that order.
A binding contract is formed when we issue an invoice and you pay it. We may decline or cancel any order before payment, including where stock has sold or where verification has lapsed.
Minimum order is $250 or 25 boxes, whichever is lower.
11. Payment (Part B)
We accept credit and debit cards and ACH bank transfer, processed by our third-party payment provider. We do not store full card numbers on our systems.
Payment is taken on invoice, before goods ship. Nothing is charged before you have received and approved both the itemized invoice and the lot manifest for that order.
Approved buyers may be offered net 15 terms after three completed orders. Overdue balances accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower, and we may suspend an account while a balance is outstanding.
You are responsible for all applicable sales and use tax unless a valid exemption certificate is on file with us.
12. Delivery and title (Part B)
Orders ship the next business day after payment clears, insured and tracked. Shipping is charged at cost and itemized on the invoice.
Title and risk of loss pass to you on delivery to your stated address. If a shipment is lost or damaged in transit, notify us within 7 days and we will replace it or refund it in full and pursue the carrier ourselves.
13. Inspection, returns and refunds (Part B)
You have 7 calendar days from delivery to inspect your order against the manifest. Any box that does not match the manifest — wrong brand, wrong count, wrong grade, shorter dating than stated, broken seal, or damage present on arrival — is refunded or replaced in full at your election, and we pay return shipping.
Because these are sealed medical supplies, we cannot accept returns of correctly supplied goods after the 7-day window, or of any goods whose seal has been broken while in your possession. Full detail is in our Returns and Refunds Policy, which forms part of these Terms.
14. Product warranty and recalls (Part B)
We warrant that goods supplied are genuine, sealed in original manufacturer packaging, unexpired, dated as stated on the manifest, and recall-clear against the FDA recall database as at the date of the manifest.
We are a distributor, not a manufacturer. We make no warranty as to the performance of the product itself; manufacturer warranties, where they exist, pass to you.
If a lot you purchased becomes subject to a recall after it ships, we will notify you at the contact address on your account as soon as we become aware, and will refund the affected boxes in full on their return or documented destruction.
15. Acceptable use of this website
You agree not to use this site to submit false information, to interfere with its operation or security, to scrape or harvest data from it, or for any unlawful purpose.
16. Intellectual property
The content, layout and design of this website are owned by us. Product names and trademarks referenced on this site belong to their respective owners and are used only to describe the goods we purchase. We are not affiliated with, endorsed by, or sponsored by any manufacturer.
17. Disclaimers
This website is provided on an "as is" basis. We make no warranty that it will be uninterrupted or error free. Nothing on this site is medical advice. Never make a decision about your treatment or your supplies based on anything you read here — speak to your healthcare provider.
18. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to any transaction is limited to the amount of the written offer for the goods concerned. We are not liable for indirect, incidental, special or consequential damages.
19. Indemnity
You agree to indemnify and hold us harmless from any claim, loss or expense arising out of your breach of these Terms or of the representations in Section 3.
20. Governing law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Ohio, and both parties consent to that jurisdiction.
21. Changes
We may update these Terms from time to time. The version in force when you accept an offer is the version that applies to that transaction. The "last updated" date above shows when this page last changed.
